Location: King of Prussia, PA Description: The Sr. Manager, Executive Compensation is responsible for the administration, planning, development, implementation and analysis of the Company’s executive compensation and Board of Directors compensation programs, including, but not limited to, annual benchmarking/market analyses, short- and long-term incentive compensation plans, non-qualified deferred compensation plans, change in control agreements, executive benefits, financial/accounting/tax treatment of executive compensation and benefits, and proxy/10-K analysis, reporting and disclosure (including portions of CD & A). This position serves as the subject-matter expert on executive and Director Compensation matters. Job Responsibilities: Employee Executive Compensation management: Manage and ensure the accurate and timely (monthly, quarterly, annually, ad hoc) completion of all executive compensation actions; such as: participate in the annual executive compensation survey; coordinate, review and analyze all compensation benchmarking and recommend adjustments, if warranted; prepare/develop/review, analyze, reconcile and approve standard and custom reports/analyses/balances, share counts, equity valuations, equity plan compliance, executive salary structures and target merit grids, etc.; calculate bonus and SERP accruals, review and approve SERP contributions; and, independently draft clear and concise communications on bonuses, LTI awards and payouts to all stakeholders. Together with legal counsel, prepare/update equity grant letters. Review, reconcile and approve annual expatriate tax equalization calculations.
